HSINCHU, Taiwan –  November 5, 2025 –  ASPEED Technology, the world’s leading provider of Baseboard Management Controller (BMC) SoC, today announced that, in order to enhance specialization, improve operational efficiency, and strengthen long-term competitiveness, the company’s Board of Directors has approved a special resolution on November 5 to spin off and transfer its Reality Remote Management (RRM) business (formerly the Smart AV business), including related manufacturing, assets, liabilities, and operations, to its 100% owned subsidiary Cupola360 Inc. (“Cupola360”). The tentative effective date of the spin-off is December 31, 2025, subject to adjustments as stipulated in the spin-off plan.

ASPEED stated that as its business footprint continues to expand and its Cloud & Enterprise Solutions portfolio diversifies, this spin-off will allow the company to focus more deeply on technological innovation and market development in the field of smart visual imaging. It has therefore resolved to spin off the Reality Remote Management (RRM) business and establish Cupola360 Inc., guided by the vision “Eyes of AI – Infinity Future with AI Vision.” Mr. Chris Lin will serve as Chairman, and Mr. CJ Hsieh will serve as President. Cupola360’s business scope will include Cupola360 panoramic cameras for smart remote management and patrol, related software services, AV-over-IP (AVoIP) video extension business, and associated SoC design and manufacturing. Going forward, ASPEED and Cupola360 will leverage their respective expertise in Baseboard Management Controller (BMC) and Reality Remote Management (RRM) to integrate customer and market resources for collaboration. This spin-off will be conducted in accordance with Article 36, Paragraph 1 of the Business Mergers and Acquisitions Act. ASPEED Technology will remain the sole shareholder of Cupola360 Inc., which will complete registration and issue common shares to ASPEED after the effective date of the spin-off. Upon completion, ASPEED will continue to hold 100% ownership of Cupola360, with no impact on ASPEED shareholders’ equity.
